Draft for review. Fill in the highlighted details and have a qualified lawyer review this document before you rely on it.

These terms govern your use of Opsey, an operations platform for hospitality businesses, provided by [legal entity name], [registered address], Malta ("Opsey", "we"). By creating an account or using Opsey you agree to them on behalf of your organisation ("you"). If you do not agree, please do not use the service.

1. The service

Opsey provides web-based tools for sales, stock, reporting, team communications, marketing, customer feedback and related features, depending on the plan you choose. Features may change as the product develops. We will not remove a feature you rely on without reasonable notice.

2. Accounts

3. Plans, locations and fees

Opsey is offered in Core, Pro and Enterprise plans, priced per operating location per month, with an optional AI Assistant add-on priced per organisation. Brands are included. Stores, warehouses and external retail locations do not count towards your location total. Additional services such as extra integrations or assisted onboarding are priced on request. Prices are shown excluding VAT, which will be added where applicable.

During early access we may provide accounts without charge. We will tell you before any charges begin, and you may stop using the service before they do.

Where charges apply, they are billed as set out in your order or invoice. You can add locations at any time and your fees will adjust accordingly. Late payment may lead to suspension after notice.

4. AI Assistant

The AI Assistant includes a monthly allowance of requests, as described on our website, which resets each month. It can produce inaccurate or incomplete output, so please check anything important before you rely on it or publish it. You stay responsible for content you publish, including social media posts.

5. Your data

You own the data you put into Opsey. You give us permission to process it only to provide and secure the service, as described in our Privacy Policy. You are responsible for having a lawful basis to enter your staff, guest and supplier data, and for informing the people concerned. We will sign a data processing agreement on request.

6. Acceptable use

You will not misuse the service. This includes attempting to access other organisations' data, probing or disrupting the platform, uploading unlawful or harmful content, or reselling the service without our written consent.

7. Availability and support

We aim to keep Opsey available and will work to fix problems quickly, but we do not promise uninterrupted service. We may carry out maintenance, and we will try to give notice of planned downtime.

8. Intellectual property

Opsey, its software, design and branding belong to us. We grant you a limited, non-exclusive right to use the service for your internal business during your subscription. You keep all rights in your own content and branding.

9. Third-party services

Opsey can connect to third-party services, such as point-of-sale systems, payment providers and social networks. Those services are governed by their own terms, and we are not responsible for them.

10. Ending the agreement

You may stop using Opsey at any time and ask us to close your account. We may suspend or end access if you seriously breach these terms, after notice where reasonable. After closure, you can request an export of your data for a reasonable period, after which we will delete it in line with our Privacy Policy.

11. Liability

Nothing in these terms limits liability that cannot be limited by law. Otherwise, to the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit or data, and our total liability in any 12-month period is limited to the fees you paid us in that period. The service is provided "as is" without warranties beyond those required by law.

12. Changes to these terms

We may update these terms. We will give notice of material changes, and continuing to use Opsey after the change takes effect means you accept the updated terms.

13. Governing law

These terms are governed by the laws of Malta, and the courts of Malta have exclusive jurisdiction, without affecting any mandatory consumer rights.
